Terms of Service

These Terms of Service (the “Terms”) govern your use of ZLDA Trade Boards, operated by ZLDA Group LLC(“ZLDA,” “we,” or “us”). By creating an account, posting a listing, expressing interest, or otherwise using the platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the platform.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the platform. By using it, you represent that you meet these requirements and that the information you provide is accurate.

2. What the platform is

The platform is a bulletin board only. Businesses list what they offer for cash, trade, or both, and find others open to trading. ZLDA is not a party to any agreement, deal, or transaction between users. We do not broker, negotiate, guarantee, or perform any service, we do not process payments or hold funds, and we are not an employer, escrow agent, or agent of any user.

3. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use.

4. Your content

You retain ownership of the content you post. You grant ZLDA a non-exclusive, royalty-free, worldwide license to host, display, and distribute that content for the purpose of operating and promoting the platform. You represent that you have the rights to the content you post and that it is accurate, including any price or rate you state.

5. Acceptable use

You agree not to use the platform to:

• offer or solicit anything illegal, fraudulent, deceptive, or misleading;
• offer regulated or licensed services without holding the required licenses, permits, or insurance;
• harass, threaten, defame, or harm another person;
• impersonate any person or business or misrepresent your affiliation;
• post spam, or scrape, harvest, or collect data from the platform by automated means;
• violate any applicable law, including licensing, consumer-protection, and tax law.

You are solely responsible for complying with all laws that apply to your business, your listings, and your dealings with other users.

6. Dealing with other users; safety; assumption of risk

ZLDA does not screen, vet, verify, endorse, or conduct background checks on any user, business, listing, or the quality, legality, or safety of anything offered. You interact, communicate, and meet with other users entirely at your own risk.

Because users may arrange to meet in person, take sensible precautions: meet in public when possible, verify who you are dealing with, and do not share more personal information than necessary. To the fullest extent permitted by law, you assume all risk arising from your interactions and transactions with other users, including any in-person meeting, and you release ZLDA, its owners, officers, and affiliates from all claims, demands, damages, and liabilities of every kind, known and unknown, arising out of or connected to those interactions and transactions. You waive any law that would limit the effect of this release with respect to unknown claims.

7. No warranty

The platform is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, secure, or error-free, or that any listing or user is accurate, reliable, or trustworthy.

8. Limitation of liability

To the fullest extent permitted by law, ZLDA and its owners, officers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or for any damages arising from a transaction or interaction between users. Our total liability for any claim relating to the platform will not exceed one hundred US dollars (US $100).

9. Indemnification

You agree to indemnify and hold harmless ZLDA and its owners, officers, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the platform, your content, your dealings with other users, or your violation of these Terms or any law.

10. Taxes

You are responsible for your own taxes. Bartered services are generally taxable at fair market value. ZLDA does not provide tax or legal advice; consult a professional about your situation.

11. Suspension and termination

We may remove any listing and suspend or terminate any account at our discretion, including for any violation of these Terms, with or without notice. You may stop using the platform at any time.

12. Dispute resolution; arbitration; class-action waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before starting an arbitration, you agree to email us at tanis@zldagroup.com and try to resolve the dispute informally for at least 30 days.

Binding arbitration. Any dispute arising out of or relating to these Terms or the platform that is not resolved informally will be settled by binding individual arbitration administered under the Consumer Arbitration Rules of the American Arbitration Association, seated in Collier County, Florida. Judgment on the award may be entered in any court with jurisdiction.

Class-action and jury waiver. Disputes will be resolved only on an individual basis. You and ZLDA waive any right to a jury trial and any right to bring or participate in a class, collective, or representative action.

30-day opt-out. You may opt out of this arbitration agreement by emailing tanis@zldagroup.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. If you opt out, the court-venue provision below applies.

Governing law and venue. These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Collier County, Florida, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the platform after changes take effect means you accept the updated Terms.

14. General

These Terms and the Privacy Policy are the entire agreement between you and ZLDA regarding the platform. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
